Terms and Conditions for Loyalty Program Participants

Program Terms and Conditions
1. Intoduction
1.1 The Sika® PH Loyalty Program (the “Program”) is organized and operated by Sika Philippines Inc. (“Sika” or the “Organizer”).
1.2. These Terms and Conditions (the “Terms”) govern your participation in the Program, including registration, earning of points, redemption of rewards, and all related Program activities.
1.3 The Program is implemented exclusively within the Republic of the Philippines and is intended for eligible participants as determined by Sika, including:
a. “End-user” or “contractors” purchasing participating Sika products;
b. Retail store owners; and
c. Counter clerks or store personnel employed by participating retail stores.(collectively, the “Member/s”)
1.4. Participation in the Program is open only to natural persons who are legal residents of the Philippines, age eighteen (18) years and above, except for employees of Sika, its affiliates, distributors, marketing agencies, and their immediate family members up to the second degree of affinity, who are not eligible to participate.
1.5. Participation is voluntary and subject to compliance with these Terms and Conditions, applicable laws, employer policies, and Program mechanics.
1.6. Participation by retail store owners and counter clerks/store personnel shall not create any employment, agency, representative, partnership, contractor, or similar relationship with Sika. Participation remains subject to their own employer policies, contractual obligations, and codes of conduct.
1.7. The Program applies only to selected participating products, and Sika reserves the right to determine the list of eligible products at its sole discretion.
2. Details of Loyalty Program
2.1. The Program is powered and supported by a third-party platform provider, Pt. Aksi Visitama or TADA (the “Service Provider”), acting as the data processor, while Sika remains the data controller and owner of all Program-related data.
2.2. Members may earn points through verified purchase of eligible Sika products through the uploading of official purchase receipts or invoices through the Program platform.
2.3. Members must submit a valid receipt or invoice within thirty (30) days from the date of purchase, and each receipt must contain a unique transaction or bill number, failing which the submission shall be rejected.
2.4. All receipt submissions shall be processed using an artificial intelligence (AI)-based optical character recognition (OCR) managed by Service Provider, and may be subject to manual validation by the Service Provider or the Organizer.
2.5. Points are allocated to eligible points-earning Members based on factors determined by Sika, which may include the following: Participant category (including End-users/Contractors and Counter Clerks/Store Personnel, and such other participant groups as Sika may determine); Product SKU purchased; Product packaging size; and Promotional campaigns approved by Sika. Sika reserves the right to amend, update, suspend, substitute, or revise the points allocation matrix, participating products, participant categories, and promotional mechanics at its sole discretion, subject to applicable laws and regulations. The applicable points allocation shall form an integral part of the Program Mechanics and may be published within the Program’s mobile application, website, promotional materials, or other communication channels designated by Sika.
2.5.1. Initial Product Points Allocation MatrixUnless otherwise revised by Sika, participating products shall earn the following points for End-users/Contractors and Counter Clerks/Store Personnel. Retail Store Owners do not earn points under the Program and are therefore not included in the points allocation matrix.

End-user/Contractor and counter clerk/store personnel points allocation shall follow the allocation table determined and published separately by Sika. Sika reserves the right to revise all points allocations at any time without prior notice, subject to applicable laws and regulations. Any revision that adversely affects Members shall be made upon reasonable prior notice, and shall not affect points already validly earned.
2.6. For purposes of reward redemption, the conversion is set at one (1) point equivalent to one (1) Philippine peso value within the Program redemption system, unless otherwise specified by Sika (pertaining to the table detailed in 2.5.1 Initial Product Points Allocation Matrix).
2.7. Points earned are valid for a period of three hundred sixty-five (365) days from the date of issuance and will follow a layer-based expiry mechanism, whereby each earned batch of points has its own independent expiry date.
2.8. Any points not redeemed within the validity period shall be automatically forfeited, and such forfeiture shall not entitle the Member to any compensation. Sika shall provide reasonable prior notice or reminders of upcoming point expiry through the Program platform.
2.9. Points are strictly non-transferable, non-exchangeable, and non-convertible to cash.
2.10. Sika reserves the right to modify, suspend, or terminate the Program or any of its mechanics at any time without prior notice, subject to compliance with applicable laws and regulations. Notwithstanding the foregoing, Sika shall give Members reasonable prior notice of any modification, suspension, or termination that materially and adversely affects them, and points validly earned by Members prior to such change shall be honored in accordance with these Terms.
3. Membership Registration
3.1. To participate in the Program, an individual must register as a Member through the following channels:(a)the Sika® Loyalty mobile application; or(b)the official Program website at https://sikaphloyalty.usetada.com
3.2. The Member must provide accurate and complete information, including but not limited to:
(a)End-users/Contractors: First Name, Last Name, Phone Number, Province, How did you hear about us, Type of Contractor. Optional information includes Email: Gender, Birthday, Company Name.
(b)Counter clerks/store personnel: First Name, Last Name, Phone Number, Province, Store Owner Card Number; Sika Sales Reps. Optional information includes: Email, Gender, Birthday.
(c)For Store owners: Store Name, Province, Municipality, First Name, Last Name, Phone Number, Sika Sales Reps. (collectively, Personal Data)
3.3. The Member, by accepting these terms and conditions, gives its consent to the Organizer (Data Controller) and the Service Provider (Data Processor) to collect, store and process the Personal Data of the Member in accordance with the applicable laws, data privacy policy (as stated hereinafter) and only for the purposes of the Program i.e.
i.identity identification and redemption of rewards;
ii.storing the Personal Data of the Member for the period stated in the Program Privacy Notice (five (5) years from enrolment, or longer where required by applicable law) or consent is withdrawn by the Member.
3.4. The Member shall verify their account through a One-Time Password (OTP) sent via SMS.
3.5. Upon successful OTP verification, the individual shall be deemed a registered Member.
3.6. Each Member is allowed to maintain only one (1) account, and use of multiple accounts or devices may result in suspension or termination of the Member’s account.
4. Rewards and Redemption Mechanics
For the redemption of the reward points, an individual shall need to take the following steps:
4.1. Download the Program’s mobile application ‘Sika® Loyalty from the Apple App Store, Android Play Store, or access/visit the web URL (https://sikaphloyalty.usetada.com) to register and participate in the loyalty program.
4.2. Members may redeem accumulated points for rewards available within the Program platform, including but not limited to electronic vouchers (e-vouchers) offered through a reward catalog managed by the Service Provider.
4.3. All rewards are subject to availability and may be changed, substituted, or withdrawn at any time with reasonable prior notice where practicable.
4.4. Redemption requests are final and cannot be cancelled, exchanged, or refunded once processed.
4.5. Rewards provided by third-party merchants are subject to their respective terms and conditions, including validity periods and usage restrictions.
5. Promotional Incentives and Bonus Mechanics
5.1. The Program may include additional incentives for eligible points-earning members, such as:
(a) sign-up rewards, credited upon successful registration;
(b) birthday rewards, subject to submission of birthdate information; and
(c) referral rewards, awarded to Members whose referred users complete their first eligible transaction.
5.2. Referral rewards shall be granted only once per referred Member and may be subject to additional validation rules.
6. Fraud Prevention and Account Control
6.1. The Program employs an automated fraud detection system managed by Service Provider to monitor suspicious or abusive activity.
6.2. Member accounts may be suspended or restricted if they exceed defined thresholds, including but not limited to:
•excessive transaction submissions;
•abnormal accumulation of points; or
•unusual redemption behavior.
6.3. In the event of suspected fraud, Sika reserves the right to:
•suspend or terminate the Member’s account;•cancel or reverse points and rewards; and
•take appropriate legal action if necessary.
7. Terms of use of the Program
7.1. The Program platform is provided through a third-party Service Provider (TADA) and is subject to applicable terms of use and privacy policies.
7.2. Members agree to use the platform only for lawful purposes and shall not engage in activities that are fraudulent, abusive, or in violation of these Terms.
8. User Obligations and Conduct
8.1. Members shall not:
•submit false, altered, or fraudulent receipts;
•create duplicate or multiple accounts;
•misuse or attempt to manipulate the Program mechanics.
8.2. Any violation of this section may result in immediate suspension or termination of the Member’s account.
9. Intellectual Property
9.1. All content on the Program platform, including but not limited to trademarks, logos, text, images, graphics, and software (collectively, “Proprietary Information”), is owned by Sika and/or its licensors.
9.2. Members are granted a limited, non-exclusive, non-transferable license to use the Program platform and its content solely for personal, non-commercial purposes.
9.3. Any unauthorized reproduction, distribution, modification, or commercial use of Proprietary Information is strictly prohibited.
10. Compliance with Philippine Laws
10.1. Nature of the Program
The Program is a consumer loyalty initiative designed to reward eligible purchases of participating Sika products. The Program does not constitute gambling, betting, wagering, lottery, or any game of chance under applicable Philippine laws, including Presidential Decree No. 1602, as amended, and related regulations. Participation is based solely on verified purchases and compliance with Program mechanics.
10.2. Compliance with Applicable Laws
The Program shall be administered in accordance with all applicable laws, rules, regulations, and regulatory issuances of the Republic of the Philippines, including but not limited to:
• Republic Act No. 7394 (Consumer Act of the Philippines);
• Republic Act No. 10173 (Data Privacy Act of 2012) and its Implementing Rules and Regulations;
• National Privacy Commission (NPC) regulations;•Republic Act No. 10667 (Philippine Competition Act);
• Department of Trade and Industry (DTI) regulations governing promotional activities;
• National Internal Revenue Code and applicable tax regulations; and
Other applicable laws and regulations relating to consumer protection, fair competition, privacy, fraud prevention, and ethical business conduct.
10.3. Consumer Protection and Fair Trade
Sika shall administer the Program in a fair, transparent, and responsible manner. The Program shall not involve deceptive, misleading, unfair, or unconscionable sales acts or practices. Participants remain responsible for making informed purchasing decisions and for evaluating the suitability of products for their intended use. Nothing in the Program shall diminish or limit the rights of participants under applicable consumer protection laws.
10.4. Fair Competition and Freedom of Choice
The Program is intended solely to reward eligible purchases and shall not be interpreted as restricting competition or market access.
Participation in the Program:
• does not require exclusivity in favor of Sika products;
• does not restrict participants from purchasing, selling, promoting, or using competing products;
• does not require any minimum purchase commitment beyond normal commercial requirements; and
• shall not be implemented in a manner that prevents, restricts, or substantially lessens competition.
End-users remain free to purchase products from any manufacturer or supplier of their choice. Retail store owners and counter clerks/store personnel remain free to promote products from any manufacturer or supplier.
10.5. Anti-Bribery and Ethical Conduct
Rewards, incentives, points, and benefits under the Program are intended solely as promotional and marketing incentives and shall not be construed as bribes, kickbacks, or improper inducements.Participants represent and warrant that:
• their participation does not violate any applicable law, employer policy, contractual obligation, or code of conduct;
• they shall not use the Program to obtain improper business advantages; and
• they shall not engage in fraudulent, unethical, or corrupt practices in connection with the Program.
Sika reserves the right to suspend, disqualify, or terminate any participant who engages in conduct that violates applicable anti-bribery laws, ethical standards, or Program policies.
For counter clerks/store personnel, rewards and loyalty points are intended solely as promotional benefits provided under the Program and shall not be construed as commissions, employment compensation, salary, kickbacks, or improper inducements. Retail store owners participate in the Program for store participation and authorization purposes and are not eligible to earn loyalty points under the Program. They acknowledge that they do not act as employees, agents, or representatives of Sika.
10.6. DTI Promotional Compliance
To the extent required by applicable law, promotional campaigns conducted under the Program shall comply with the applicable requirements of the Department of Trade and Industry (DTI).
Where required:
• the applicable DTI permit number shall be disclosed in promotional materials;•mechanics, eligibility requirements, rewards, and redemption processes shall be clearly communicated;
• all promotional representations shall be truthful, accurate, and not misleading; and•promotions shall be conducted in accordance with applicable DTI regulations.
10.7. Fraud Prevention and Verification
Sika reserves the right to validate receipts, invoices, transactions, account information, and reward redemption requests.
Any participant found to have engaged in:
• falsification of receipts or invoices;
• submission of fictitious transactions;
• account manipulation;
• multiple account creation;
• collusion;
• misrepresentation; or
•other fraudulent activities,
may be disqualified from the Program and may forfeit all accumulated points, rewards, and benefits without prejudice to any legal remedies available to Sika.
10.8. Tax Compliance
Participants shall be responsible for any taxes that may be imposed under applicable Philippine laws in connection with rewards, incentives, prizes, or benefits received under the Program, if applicable. Where required by law, Sika may withhold, report, or remit applicable taxes to the relevant government authorities.
10.9. Data Privacy Compliance
The collection, storage, use, disclosure, retention, transfer, and processing of personal information under the Program shall be governed by the Data Privacy Act of 2012, its rules and regulations, applicable NPC regulations, and the Program Privacy Notice.
By participating in the Program, participants acknowledge and consent to the collection and processing of their personal information for Program administration, verification, reward fulfillment, compliance, audit, fraud prevention, and other lawful business purposes.
Personal data collected may include:
• name, contact details, and demographic information;
• transaction and activity data;
• device and usage information.
Such data shall be used for:
• Program administration and operation;
• rewards fulfillment and communication;
• marketing and customer engagement (subject to consent); and
• fraud prevention and legal compliance.
The Program platform is operated by the Service Provider (TADA), and personal data may be stored or processed outside the Philippines (including in Indonesia and/or cloud infrastructure). Sika remains accountable as Personal Information Controller and applies appropriate safeguards for such cross-border transfers, as further described in the Program Privacy Notice.
Marketing and customer-engagement communications are optional and require the Member’s separate, opt-in consent, which the Member may withdraw at any time without affecting participation in the Program.Members may exercise their rights under the Data Privacy Act, including the rights to be informed, to access, to rectify, to object, to erasure or blocking, and to lodge a complaint with the National Privacy Commission, in the manner described in the Program Privacy Notice.
10.10. Customer-First Principle
Nothing in the Program shall require participants to recommend, purchase, or use Sika products where such products are not suitable for the customer's intended application or requirements.
The Program shall not be administered in a manner that compromises consumer welfare, professional judgment, or customer choice.
Participation in the Program shall not require retail store owner, counter clerks/store personnel, or any participant to exclusively recommend, promote, or sell Sika products. Participants remain free to recommend competing products where appropriate for the customer's requirements and intended application.
11. Employer Policy Compliance
Retail store owners, counter clerks/store personnel, are solely responsible for ensuring that their participation in the Program complies with employer's policies, contractual obligations, codes of conduct, and internal regulations. Sika shall not be responsible for any violation of said employer's policies.
Store clerks/store personnel may participate in the Program only with the consent and authorization of the Retail store owner to which they are affiliated with. By permitting such participation, the Retail store owner confirms that such participation complies with its policies, contractual obligations, codes of conduct and internal regulations.
Sika may require documented evidence of the retail store owner’s authorization as a condition of enrolment for any counter clerk or store personnel account, and may suspend or terminate any such account where such authorization is not provided or is subsequently withdrawn.
12. No Employment / Agency Relationship
Participation in the Program shall not create any employment, agency, partnership, contractor, representative, or fiduciary relationship between Sika and any participant.
13. Disclaimers and Limitation of Liability
13.1. The Program, the Program platform, and all rewards are provided on an “as available” basis. While Sika takes reasonable steps to operate the Program reliably, Sika does not warrant that the Program platform will be uninterrupted, error-free, or free from delays, and shall not be liable for temporary unavailability of the platform or for failures attributable to the Service Provider, third-party merchants, telecommunications networks, or other causes beyond Sika’s reasonable control.
13.2. Points have no cash value, are not legal tender, and do not constitute property, a deposit, or a monetary obligation of Sika.
13.3. Rewards and vouchers are supplied by third-party merchants and are subject to the terms, conditions, validity periods, and availability set by those merchants. Sika is not the manufacturer, supplier, or warrantor of third-party rewards and, to the extent permitted by law, gives no warranty in respect of them; any claim relating to a third-party reward must be pursued with the relevant merchant.
13.4. To the fullest extent permitted by applicable Philippine law, Sika’s total aggregate liability to a Member arising out of or in connection with the Program shall not exceed the peso value of the points validly held by that Member at the time the relevant claim arose, and Sika shall not be liable for any indirect, incidental, or consequential loss.
13.5. Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law, including the non-waivable rights of consumers under Republic Act No. 7394 (Consumer Act of the Philippines), or liability for death or personal injury caused by Sika’s negligence or for fraud.
14. Governing Law and Changes to these Terms
14.1. These Terms shall be governed by and construed in accordance with the laws of the Republic of the Philippines.
14.2. Sika may amend these Terms from time to time to reflect changes in the Program, applicable law, or business requirements. Any amendment that materially and adversely affects Members shall take effect only upon reasonable prior notice through the Program platform, and points validly earned before the change shall be honored in accordance with these Terms. Continued participation after the effective date of an amendment constitutes acceptance of the amended Terms.
15. Acknowledgement and Consent
By participating in the Program, the Member confirms that they have read and understood these Terms, and:
• agree to comply with all Program rules and conditions;
• consent to the collection and processing of personal data in accordance with applicable laws.
To ensure that your rights as a data subject are secured, SIKA PHILIPPINES INC. (Company) has implemented reasonable and appropriate organizational, physical and technical measures intended for the protection of your personal information against any accidental or unlawful destruction, alteration and disclosure, as well as against any other unlawful processing under the following terms and conditions:
I. PERSONAL INFORMATION AND SENSITIVE INFORMATION TO BE PROCESSED
The type of personal information or sensitive personal information which the Company may collect either directly or indirectly in connection with your enrollment and participation in the Program may include, among others:
(a)For End-users/Contractors: First Name, Last Name, Phone Number, Province, How did you hear about us, Type of Contractor. Optional information includes: Email, Gender, Birthday, Company Name.
(b)For Counter clerks/store personnel: First Name, Last Name, Phone Number, Province, Store Owner Card Number; Sika Sales Reps. Optional information includes: Email, Gender, Birthday.
(c)For Store owners: Store Name, Province, Municipality, First Name, Last Name, Phone Number, Sika Sales Reps.
Gender and Birthday are optional information and are not required for participation in the Program. Where provided, such information will only be processed for the stated Program purposes, including applicable benefits such as birthday-related rewards.
The accuracy and relevancy of personal information is of vital importance. You are therefore required to inform the Company at the earliest possible time should the personal information in its possession become inaccurate or false.
II. PURPOSE OF THE PROCESSING OF INFORMATION
Any processing of personal information shall be made for a legal purpose and/or pursuant to a legal obligation under applicable laws taking into consideration appropriate security measures to ensure the confidentiality and/or integrity of the personal information. This includes, among others:
1. Account Registration;
2. Program Administration and Operation;
3. Identity Verification;
4. Communications;
5. Transaction Processing;
6. Rewards Fulfillment and Communication;
7. Customer Support;
8. Records Management;
9. Marketing and Promotional Activities (where you have given your separate opt-in consent);
10. Fraud Prevention; and
11. For other legitimate and/or business-related purposes. The Company reserves the right to process your personal information in order, among others: (1) to comply with applicable laws and legal obligations; (2) to respond to governmental inquiries or requests from public authorities; (3) to comply with valid legal processes issued by competent government authorities; (4) to protect the rights, privacy, safety or property of the Company, site visitors, guests, employees or the general public; (5) to permit the Company to pursue available remedies or limit the damages that the Company may sustain; (6) to respond to an emergency; and/or (7) to monitor and comply with applicable laws, regulations, policies and procedures.
The Program uses AI-based optical character recognition (OCR) technology for receipt validation. This involves automated processing of your transaction data for the purpose of points calculation and fraud detection. You have the right not to be subject to a decision based solely on automated processing if it produces legal effects concerning you.
III. PROCESSING OF INFORMATION AND DATA PROTECTION
We shall process your personal information strictly in accordance with the provisions of the Data Privacy Act, this document, and the Company’s Data Privacy Policy. Personal information shall be processed only by our authorized personnel who hold such information under strict confidentiality.
We shall implement reasonable and appropriate organizational, physical, and technical security measures for the protection of the personal information we process. We shall aim to maintain the integrity, and confidentiality of the personal information for its protection against any accidental or unlawful destruction, alteration, and disclosure, as well as against any other unlawful processing.
IV.RETENTION OF INFORMATION
The Company shall only retain your information for five (5) years from enrollment of account, or only until the declared, specific, and legitimate purpose as mentioned above has been achieved or the processing relevant to the purpose has been terminated. However, the Company may retain Personal Data beyond the above retention period, where required by applicable law, regulatory, tax or audit requirements, for fraud prevention and investigation purposes, for the establishment, exercise or defense of legal claims, dispute resolution, or other legitimate business purposes permitted by applicable law.
Upon termination of your account or expiration of all earned points, your personal information shall be retained for the period stated above solely for record-keeping, audit, and legal compliance purposes, after which it shall be securely disposed of or anonymized.
V. DATA SHARING
The Company shall share your information only with authorized individuals or entities, for the purposes stated in this document.
The types of information to be shared are:
1. For End-users/Contractors: First Name, Last Name, Phone Number, Province, How did you hear about us, Type of Contractor. Optional information includes Email: Gender, Birthday, Company Name.
2. For Counter clerks/store personnel: First Name, Last Name, Phone Number, Province, Store Owner Card Number; Sika Sales Reps. Optional information includes: Email, Gender, Birthday.
3. For Store owners: Store Name, Province, Municipality, First Name, Last Name, Phone Number, Sika Sales Reps.
The Company shall share your information with the following:
1. PT Aksi Visitama (Tada);
2. Macrokiosk Philippines (SMS enabler); and
3. Other related third-party providers may be accredited in the future, upon prior notice to the Data Subject.
Cross-border transfer. You acknowledge and consent that your personal information will be transferred to, and stored or processed in, a location outside the Philippines-including Indonesia and/or cloud infrastructure operated by or for PT Aksi Visitama (Tada). The Company remains accountable as Personal Information Controller for such transfers and requires, through contractual and other reasonable means, that your personal information is afforded a comparable level of protection to that required under the Data Privacy Act of 2012.
Please be informed that as a data subject, you have the right to access and correct the information, in case of inaccurate or incomplete data. Furthermore, you have the right to object to retention and processing of your personal information by the accredited providers listed above in the event the processing exceeds the parameters to which you originally consented.
You may also exercise your other rights as a data subject under the Data Privacy Act of 2012, including the right to be informed, to access, to rectify or correct, to object to processing, to erasure or blocking, to data portability, to be indemnified for damages, and to lodge a complaint with the National Privacy Commission. You may withdraw your consent at any time by contacting the Data Privacy Officer; however, where the processing is necessary for your participation in the Program, withdrawing your consent may result in the suspension or termination of your account and your continued participation in the Program. Withdrawal of consent does not affect the lawfulness of processing carried out before the withdrawal.
The Company may also share your information to related third party providers as indicated above in order to carry out such program-related, business related, or other lawful purposes including, but not limited to: (1) complying with law and/or legal processes in which a formal request or order has been made by competent authority; (2) defend the Company’s rights; (3) enforce the terms and conditions of this policy; and/or (4) for any other legal purpose incidental to your participation in the Program.
